1. General

These Terms & Conditions govern the provision of services by Golden Panther Information Technology CO. L.L.C S.O.C (“the Company”). By engaging, purchasing, or utilizing any services offered by the Company, the Client acknowledges and agrees to be bound by these Terms & Conditions.

2. Services

The Company provides a comprehensive range of information technology and infrastructure-related services, including but not limited to:

• Cloud Hosting Solutions

• Server Deployment & Configuration

• Infrastructure Architecture & Design

• System Monitoring & Performance Management

• Infrastructure Scaling & Optimization

• IT Consulting & Advisory Services

• Maintenance & Technical Support

• Managed Infrastructure Services

The scope, deliverables, and timelines for services shall be outlined in the respective proposal, quotation, agreement, or invoice issued by the Company.

3. Payment Terms

• All invoices are due and payable on or before the specified due date unless otherwise agreed upon in writing.

• Late payments may result in the suspension, restriction, or termination of services without prior notice.

• The Company reserves the right to withhold deliverables, access credentials, support services, or infrastructure resources until outstanding balances have been settled in full.

• Any additional work requested outside the agreed scope may be subject to separate charges.

4. Cancellation & Refund Policy

• Cancellation or refund requests submitted within seven (7) calendar days from the invoice date may be reviewed and considered at the sole discretion of the Company.

• Approved refunds requested after seven (7) calendar days from the invoice date shall be subject to a non-refundable administrative and service charge equal to twenty percent (20%) of the total invoiced amount.

• No refunds, credits, reimbursements, or service reversals shall be provided after thirty (30) calendar days from the invoice date.

• Any costs incurred by the Company on behalf of the Client, including third-party services and licensing fees, remain non-refundable.

5. Non-Refundable Services

Once service delivery, implementation, or project work has commenced, the following fees shall be deemed fully earned and non-refundable:

• Infrastructure Setup Fees

• Server Deployment & Configuration Services

• Cloud Environment Provisioning

• Consulting & Advisory Services

• Architecture Design & Planning

• Monitoring & Maintenance Services

• Scaling & Optimization Services

• Technical Support Services

• Third-Party Licensing Costs

• Vendor Fees, Subscriptions, and Disbursements

6. Service Availability

The Company shall use commercially reasonable efforts to maintain the availability, reliability, and performance of its services.

However, the Company does not guarantee uninterrupted, error-free, or continuous operation of any service. The Company shall not be liable for service interruptions, outages, delays, or performance degradation resulting from:

• Third-Party Service Provider Failures

• Data Center Outages

• Internet Connectivity Issues

• Cybersecurity Incidents

• Force Majeure Events

• Government Restrictions

• Circumstances Beyond the Company’s Reasonable Control

7. Client Responsibilities

The Client agrees to:

• Provide accurate, complete, and up-to-date information necessary for service delivery.

• Maintain the confidentiality and security of all account credentials, access keys, passwords, and administrative permissions.

• Ensure that all use of the Company’s services complies with applicable laws, regulations, and industry standards.

• Promptly notify the Company of any unauthorized access, security incidents, or suspected breaches.

The Company shall not be responsible for losses resulting from the Client’s failure to meet these obligations.

8. Limitation of Liability

To the fullest extent permitted under applicable law, the Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

• Loss of Revenue

• Loss of Profits

• Loss of Data

• Business Interruption

• Loss of Business Opportunities

• Reputational Damage

• Loss of Goodwill

This limitation applies regardless of the cause of action, whether in contract, tort, negligence, strict liability, or otherwise.

9. Intellectual Property

Unless expressly agreed otherwise in writing:

• All intellectual property rights, methodologies, documentation, scripts, configurations, automation processes, designs, systems, and materials created, developed, or provided by the Company shall remain the exclusive property of the Company.

• No ownership rights shall transfer to the Client solely through payment for services.

• Clients may not reproduce, distribute, reverse engineer, or commercially exploit Company-owned materials without prior written authorization.

10. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE).

Any dispute arising from or relating to these Terms & Conditions shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.

11. Acceptance

Payment of any invoice, execution of a service agreement, issuance of a purchase order, or continued use of the Company’s services shall constitute full acceptance of these Terms & Conditions by the Client.

By engaging the Company’s services, the Client confirms that they have read, understood, and agreed to be bound by these Terms & Conditions.
